AMBASSADOR AGREEMENT (APPLICATION / ACCEPTANCE TERMS)
By submitting an application to or participating in the Stolo Clothing Co Ambassador Program, the applicant (“Ambassador”) expressly acknowledges and agrees to be bound by the following terms and conditions (“Agreement”). Submission of an application, acceptance of product, or participation in any ambassador-related activity constitutes full acceptance of this Agreement without the need for a physical signature.
1. STATUS / RELATIONSHIP
This Agreement is at-will and may be terminated by either party at any time, with or without cause or notice.
This Agreement does not create an employment relationship. Ambassador acts as an independent contractor only.
2. ACCEPTANCE OF TERMS
By:
- Submitting an application,
- Accepting free or discounted product, and/or
- Participating in any ambassador-related activity,
Ambassador acknowledges that they have read, understood, and agreed to all terms outlined in this Agreement.
3. DELIVERABLES
Ambassador agrees to provide:
- [#] Instagram posts and/or TikTok videos
- Content must be posted within [X days] of receiving product
- Content must feature the product and tag @stoloclothingco
Failure to comply will be treated as a breach of this Agreement.
4. CONTENT APPROVAL
Company reserves the right to require content review and approval prior to posting. Content must not be posted until approval is granted if requested.
5. COMPENSATION
- Ambassador will receive: [free product / discount / payment]
- Total value: $[amount]
Compensation is contingent upon full completion of deliverables.
6. FAILURE TO PERFORM
If Ambassador fails to fulfill deliverables, Ambassador agrees to:
- Return all products (unused and in good condition), or
- Pay the full retail value of the products received: $[amount]
This shall be considered liquidated damages.
7. LATE DELIVERY
Late or incomplete deliverables may result in:
- A late fee of $[X per day], and/or
- Enforcement of repayment of product value
8. EXCLUSIVITY (OPTIONAL)
Ambassador agrees not to promote competing brands without prior written consent during the term of this Agreement.
9. NON-DISCLOSURE (CONFIDENTIALITY)
Ambassador agrees not to disclose any confidential or non-public information related to Stolo Clothing Co, including but not limited to business operations, marketing strategies, pricing, or internal communications. This obligation survives termination.
10. CONTENT USAGE RIGHTS
Ambassador grants Stolo Clothing Co a perpetual, worldwide, royalty-free license to use, reproduce, edit, and distribute all content created under this Agreement for marketing and advertising purposes.
11. NON-DISPARAGEMENT
Ambassador agrees not to make any false, misleading, or damaging statements about Stolo Clothing Co.
12. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Nevada.
13. ENTIRE AGREEMENT
This document constitutes the full agreement between the parties. Participation in the program or submission of an application constitutes acceptance of all terms herein.
